011. Our role
ASNA HIREXTRA LIMITED (trading as yo-ho-no) provides business introductions, acquisition-opportunity discovery and transaction facilitation. It is not authorised by the Financial Conduct Authority and does not provide investment, securities, legal, tax, accounting or regulated financial advice, or arrange deals in regulated investments.
022. Mandate / engagement
An engagement starts when you accept these terms together with a mandate schedule identifying the transaction, scope of services and commercial terms.
033. Introduced party
An introduced party is any person, or member of its group, whose identity or opportunity is first disclosed to you by or through yo-ho-no, or with whom yo-ho-no first facilitates contact.
044. Introduction date
The introduction date is the earliest date recorded in the yo-ho-no platform on which the introduced party or opportunity was disclosed to you.
055. Confidentiality
Each party keeps the other's confidential information confidential in line with the NDA & data room terms and any signed NDA.
066. Non-circumvention
You must not, directly or indirectly, deal with an introduced party about the introduced opportunity, or a substantially similar transaction, other than through yo-ho-no during the protection period.
077. Introduction protection period
The protection period is stated in the mandate schedule and runs from the introduction date. If none is stated, it is 24 months.
088. Retainer
Where the mandate schedule provides for a retainer, it is payable as set out there, is non-refundable unless stated otherwise, and may be credited against any success fee if the schedule says so.
099. Success fee
A success fee is payable only if, and in the amount or percentage, set out in the mandate schedule for the specific transaction. No fee rate is fixed by these standard terms.
1010. Fee-sharing arrangements
Yo-ho-no may share fees with introducing partners or co-advisers under separate written agreements. Such arrangements will be disclosed to the paying client on request and where required.
1111. Payment trigger
Unless the mandate schedule says otherwise, the success fee becomes due on legal completion of a transaction with an introduced party and is payable within 30 days of invoice.
1212. Taxes / VAT
Fees are exclusive of VAT and other applicable taxes, which are payable in addition where applicable.
1313. Conflict disclosure
Yo-ho-no may act for or receive fees from more than one party. We will disclose known material conflicts and may decline or end an engagement where a conflict cannot be managed.
1414. Termination
Either party may terminate on 30 days' written notice, or immediately for material breach. Accrued fees remain payable.
1515. Post-termination introductions
If, within the protection period after termination, you complete a transaction with a party introduced before termination, the success fee remains payable.
1616. Limitation of liability
To the extent permitted by law, yo-ho-no is not liable for indirect or consequential loss or for the accuracy of third-party information, and its total liability is limited to the fees paid by you under the relevant engagement. Nothing limits liability that cannot be limited by law.
1717. Independent professional advice
You must obtain your own legal, financial, tax, accounting and regulatory advice, and conduct your own due diligence, before entering any transaction.
1818. Governing law & disputes
These terms are governed by the laws of England and Wales. The parties will first try to resolve disputes in good faith; failing that, the courts of England and Wales have exclusive jurisdiction. Contact: legal@yo-ho-no.com.
