01Our role
ASNA HIREXTRA LIMITED (trading as yo-ho-no) provides business-introduction, acquisition-opportunity discovery and transaction-facilitation services. Unless separately agreed in writing and lawfully permitted, we do not provide investment advice, securities brokerage, investment banking, merchant banking, legal advice, tax advice, accounting advice or regulated financial advice.
02Not FCA-authorised
ASNA HIREXTRA LIMITED is not authorised by the UK Financial Conduct Authority. We do not make investment recommendations, assess whether an investment is suitable for a person, arrange transactions in regulated investments, or hold client money. If a proposed transaction involves securities, fundraising, minority investment or another regulated activity, the relevant work must be conducted by an appropriately authorised professional.
03No offer or solicitation
Nothing published through yo-ho-no constitutes an offer, prospectus, recommendation or solicitation to purchase, subscribe for or sell securities or other regulated financial instruments. Access to an acquisition opportunity is not an endorsement of the business, its owners, management, information, valuation expectations or proposed transaction.
04Information and verification
Business information—including revenue, EBITDA, profitability, customers, assets, forecasts and valuation expectations—may have been supplied by sellers, buyers, partners or other third parties. Unless expressly stated otherwise, yo-ho-no has not independently audited or verified it. Information may be incomplete, inaccurate or change without notice.
05Independent due diligence
You must undertake your own independent legal, financial, commercial, tax, technical and regulatory due diligence before proceeding. Obtain advice from appropriately qualified and, where required, authorised professionals. No transaction is guaranteed to complete.
06Fees and conflicts
Where yo-ho-no has been formally engaged by a buyer, seller or transaction partner, introduction fees, retainers, success fees or other commercial fees may be payable under a written agreement. The existence of a fee arrangement is not a recommendation concerning the merits of a transaction. Potential conflicts of interest will be disclosed where applicable.
07Cross-border transactions
Transactions may involve parties in different jurisdictions. Each user is responsible for compliance with the laws and regulations that apply to them and their proposed transaction.
United Kingdom. Under the Financial Services and Markets Act 2000, carrying on a regulated activity requires authorisation (section 19) and communicating a financial promotion is restricted (section 21). yo-ho-no does not carry on regulated activities and its communications are not intended to be invitations or inducements to engage in investment activity.
United States. Transactions involving securities may be subject to federal and state securities laws, including broker-dealer registration requirements. yo-ho-no is not a registered broker-dealer and does not effect securities transactions or receive transaction-based compensation where registration would be required.
Canada. Applicable provincial and territorial securities laws and dealer registration requirements may apply. yo-ho-no is not registered with any Canadian securities regulator.
India. Transactions may be subject to the Companies Act 2013, the Foreign Exchange Management Act 1999 and Reserve Bank of India rules, and Securities and Exchange Board of India regulations. yo-ho-no is not a SEBI-registered merchant banker or intermediary.
Regulated activities are only undertaken where legally permitted or through appropriately authorised/registered professionals.
08No guarantee
