01Confidential information
All non-public information about a business, its owners, customers, employees, finances or a proposed transaction that is made available to you through yo-ho-no, in any form, is confidential information.
02Permitted use
You may use confidential information only to evaluate whether to proceed with the specific proposed transaction. You may share it only with your professional advisers and financiers who need it for that purpose and who are bound by equivalent confidentiality duties; you remain responsible for them.
03No redistribution
You must not copy, download (except where enabled), forward, publish, screenshot, scrape or otherwise redistribute confidential information, and must not remove watermarks or access controls.
04No direct approach
You must not contact the business's owners, employees, customers, suppliers or lenders about the proposed transaction except through yo-ho-no or as agreed in writing.
05Not verified
Information may have been supplied by sellers, buyers, partners or other third parties and has not necessarily been independently verified by yo-ho-no. No representation or warranty is given about its accuracy or completeness. You must carry out your own due diligence.
06Monitoring and records
For security and audit purposes we record your acceptance of these terms (user, transaction, terms version, time, IP address and browser information), access granted or revoked, and documents viewed or downloaded where enabled. See our Privacy policy.
07Revocation
Access may be suspended or revoked at any time without notice. On request, or if you decide not to proceed, you must promptly return or destroy confidential information, except where retention is required by law.
08Duration, law and contact
Confidentiality obligations continue for three years after your last access unless a signed NDA says otherwise. These terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction. Questions: legal@yo-ho-no.com.
